End-User License Agreement – PFS App

This End-User License Agreement ("Agreement") is between Peak Flow Solutions ("PFS," "we," "us") and the business ("Client," "you") whose authorized user connects PFS App (the "App") to a QuickBooks Online company. By connecting the App, you agree to this Agreement on behalf of that business and confirm you have authority to do so.

1. What the App is

The App is a private tool that PFS uses for one purpose: moving accounting data that PFS has prepared for you, using AI-assisted tools including Claude by Anthropic, into your QuickBooks Online company through Intuit's application programming interface. The App also reads back the QuickBooks records needed to match and verify that data. The App is not sold or offered to the general public.

2. License

Subject to this Agreement, PFS grants you a limited, non-exclusive, non-transferable, revocable license to authorize the App's connection to your QuickBooks Online company solely so that PFS can perform services you have engaged it to perform. You may not copy, modify, resell, sublicense, reverse engineer, or use the App for any other purpose.

3. Relationship to your engagement

Your engagement letter, proposal, or services agreement with PFS (the "Engagement Agreement") governs the scope, fees, and deliverables of the services. There is no separate charge for the App. If this Agreement conflicts with your Engagement Agreement, the Engagement Agreement controls.

4. Your responsibilities

  • Connect the App only to QuickBooks Online companies you are authorized to manage.
  • Give PFS accurate and complete source information and instructions.
  • Review the records, reconciliations, and reports PFS provides, and tell us promptly about anything that looks wrong.
  • Keep your own backups and exports of your QuickBooks data as your business requires.
  • Remain responsible for your financial statements, tax filings, and accounting decisions.

5. Data and privacy

We handle data accessed through the App as described in our Privacy Policy, which is part of this Agreement. You keep all rights to your data. You authorize PFS to access, process, and write data in your QuickBooks Online company as needed to perform the engagement.

6. Third-party services

QuickBooks Online is provided by Intuit Inc. under Intuit's own terms. PFS does not control QuickBooks Online and is not responsible for its availability, features, changes, or security. QuickBooks and Intuit are trademarks of Intuit Inc. The App is not affiliated with or endorsed by Intuit Inc.

7. Term and termination

This Agreement starts when the App is connected and continues until the App is disconnected or your engagement ends. Either party may end it at any time by disconnecting the App in QuickBooks Online or by written notice. When it ends, PFS stops using the connection and handles your data as described in the Privacy Policy. Sections 5, 6, 8, 9, and 10 continue after termination.

8. Disclaimer of warranties

Except as expressly stated in your Engagement Agreement, the App is provided "as is" and "as available." To the fullest extent permitted by law, PFS disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the App or the QuickBooks Online connection will be uninterrupted or error-free.

9. Limitation of liability

To the fullest extent permitted by law, PFS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or relating to the App. PFS's total liability arising out of or relating to the App will not exceed the fees you paid PFS for the related services in the twelve (12) months before the claim arose.

10. General

This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules, and any dispute will be brought in the state or federal courts located in Williamson County, Tennessee. You may not assign this Agreement without PFS's written consent. PFS may update this Agreement by posting a revised version on this page and will notify active clients of material changes. If any provision is found unenforceable, the rest remains in effect.
